Terms of Service

1. Acceptance of Terms

By accessing Setuio's website and services, you agree to these Terms of Service and applicable Indian laws. If you disagree with any part, please do not use our services.

2. Services

Setuio provides digital marketing, ERP implementation, and business consulting. Specific deliverables, timelines, and fees are outlined in separate Service Agreements or Statements of Work (SOW) for each engagement.

3. Client Obligations

• Provide accurate, complete information needed for service delivery
• Make timely payments as per agreed schedules
• Ensure all content and materials shared are legally owned or licensed
• Designate a point of contact for timely approvals and communication

4. Intellectual Property

Upon full payment, clients receive ownership of final deliverables created for them. Setuio retains rights to underlying methodologies, frameworks, and tools. Setuio may showcase completed work in its portfolio unless the client requests confidentiality in writing.

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination for a period of 2 years.

6. Payment Terms

Invoices are due within 15 days of issuance unless otherwise agreed. Late payments attract interest at 1.5% per month. Setuio reserves the right to pause services for accounts overdue beyond 30 days.

7. Limitation of Liability

Setuio's total liability shall not exceed fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages including loss of revenue or data.

8. Governing Law & Jurisdiction

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Gurugram, Haryana, India.

9. Termination

Either party may terminate with 30 days written notice. Clients are liable for fees for work completed to the termination date. Setuio may terminate immediately for non-payment or material breach.

10. Amendments

Setuio may modify these terms at any time. Continued use of services after changes constitutes acceptance of the revised terms.
